Terms and Conditions of Use
For the purposes of these Terms and Conditions ("Terms"), the following definitions shall apply:
By downloading, installing, or using the Product, the User agrees to abide by these Terms. Please read these Terms carefully before using the Product. If the User does not agree with any part of these Terms, the User should not use the Product. Continued use of the Product signifies the User's acceptance of these Terms, including any amendments or updates thereto.
The Product, including its code, design, trademarks, and all associated intellectual property, is the exclusive property of Papertrail Technologies LLC. The User is strictly prohibited from copying, modifying, distributing, or creating derivative works of the Product without prior written consent from Papertrail Technologies LLC. Unauthorized attempts to access the source code, translate the Product into other languages, or create derivative versions are expressly prohibited. The User acknowledges that all trademarks, service marks, trade names, and logos associated with the Product are the property of the Company and are protected by applicable intellectual property laws.
Subject to the User's compliance with these Terms, Papertrail Technologies LLC grants the User a limited, non-exclusive, non-transferable, revocable license to use the Product for personal, non-commercial purposes. The User agrees not to use the Product for any unlawful or prohibited activity. Any commercial use of the Product requires a separate commercial license agreement with the Company. The Company reserves all rights not expressly granted to the User under these Terms.
Papertrail Technologies LLC reserves the right to modify, update, or discontinue the Product or any part of it at any time without prior notice. The Company may also introduce charges for the use of the Product or certain services within it. Any such charges will be clearly communicated to the User in advance. The User acknowledges and agrees that the Company shall not be liable to the User or any third party for any modification, price change, suspension, or discontinuation of the Product.
The Product stores and processes personal data that the User has provided to us to deliver our services. The User is responsible for maintaining the security of their device and access to the Product. The Company strongly recommends against jailbreaking or rooting the User's device, as it may compromise security features, expose the device to malicious software, and impair the functionality of the Product. The Company adheres to strict data protection policies and complies with all relevant data protection legislation. By using the Product, the User consents to the collection, use, and transfer of their personal data as outlined in the Company's Privacy Policy.
The Product may include services provided by third parties, each of which has its own terms and conditions. By using these services, the User agrees to their respective terms. Papertrail Technologies LLC is not responsible for any third-party services' performance, reliability, or availability. The Company does not endorse and is not responsible for the content, accuracy, or opinions expressed in third-party services. The User assumes all responsibility for the use of third-party services and acknowledges that the use of such services is at their own risk.
Certain features of the Product require an active internet connection. Papertrail Technologies LLC is not responsible for the Product's functionality if the User lacks a reliable internet connection. Additionally, any charges incurred from the User's mobile network provider, including data and roaming fees, are the User's responsibility. The Company assumes the User has obtained the necessary permissions if the User is not the device's bill payer. Papertrail Technologies LLC disclaims liability for any loss or damage resulting from the User's use of the Product. While the Company strives to ensure the Product is accurate and up-to-date, it relies on third-party information and cannot guarantee its completeness or accuracy. The Company shall not be liable for any indirect, incidental, consequential, or punitive damages, including but not limited to, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) the User's access to or use of or inability to access or use the Product; (ii) any conduct or content of any third party on the Product; (iii) any content obtained from the Product; and (iv) unauthorized access, use, or alteration of the User's transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not the Company has been informed of the possibility of such damage.
The User may need to download updates to continue using the Product. Papertrail Technologies LLC does not guarantee that updates will be compatible with the User's device. By using the Product, the User agrees to accept and install any updates provided. The Company reserves the right to make improvements or changes to the Product at any time. The User acknowledges that the Company may automatically update the Product and that these updates may change the Product's system settings or configuration.
The Company reserves the right to terminate the User's access to the Product at any time, without notice, for any reason. Upon termination, the User's rights to use the Product will cease, and the User must delete the Product from their device. The Company shall not be liable to the User or any third party for any termination of the User's access to the Product. Any provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
The User agrees to indemnify, defend, and hold harmless Papertrail Technologies LLC, its officers, directors, employees, agents, and affiliates, from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) that such parties may incur as a result of or arising from the User's (or anyone using the User's account) violation of these Terms. The Company reserves the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by the User, and in such case, the User agrees to cooperate with the Company's defense of such claim.
The Company may update these Terms periodically. The User is advised to review this page regularly for any changes. Updates will be posted on this page, and the changes will take effect immediately upon posting. Continued use of the Product following the posting of any changes constitutes acceptance of those changes.
These Terms shall be governed by and construed in accordance with the laws of the State of [Your State], without regard to its conflict of law principles. The User agrees to submit to the personal and exclusive jurisdiction of the courts located within the county of [Your County], [Your State].
If any provision of these Terms is found to be unlawful, void, or unenforceable, then that provision shall be deemed severable from these Terms and shall not affect the validity and enforceability of any remaining provisions.
These Terms constitute the entire agreement between the User and Papertrail Technologies LLC regarding the use of the Product and supersede any prior agreements between the User and the Company relating to the Product.
No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and the Company's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
